Terms & Conditions
of Trading
The Company Terms & Conditions are available on request.
Companies applying for credit will be required to establish a
trading relationship, normally orders received before an account
is opened will be put on a Pro-forma basis. When an account is
opened the Company's normal terms of payment are to be within
30 days of invoice.
Special overnight deliveries can be
arranged, and deliveries outside the UK mainland can also be arranged
at normal tariff rates.
All quotations are free and shall
be open for acceptance within 30 days.
Prices
Prices charged will be those in force at the date of purchase
or invoice and will be based on the Image Lighting (Manchester) Ltd., quoted
price. We reserve the right to review prices for whatever reason,
but will generally do so to offset devaluation of exchange or
increase in raw material costs. Special quotations at variance
from our current prices or at variance to these terms and conditions
shall only be valid if in writing, signed by an Image Lighting authorised
Manager or Sales Representative.
Orders
Official orders must always be confirmed in writing to Image Lighting (Manchester) Ltd.,
prior to commencement of any work on product ordered. Customers
making verbal orders shall be responsible for any costs incurred
due to errors in description or quantity of goods delivered or
for goods not ready for collection.
Proforma Orders
Proforma invoices issued by Image Lighting (Manchester) Ltd., must be settled in full prior
to manufacture of goods.
Carriage
Carriage shall be payable on all goods despatched to destinations
within mainland UK at a set rate, available on request from Image
Lighting (Manchester) Ltd. Deliveries are generally by overnight
courier. Special deliveries i.e. Timed or before 12, or deliveries abroad will be charged
accordingly. Deliveries within UK but outside UK mainland are
generally charged at the normal rates, but are subject to longer
delivery times. All these rates are subject to change without
notice.
Surcharges
Image Lighting (Manchester) Ltd., reserve the right to levy surcharges
on orders consisting of items priced at less than £50 or
for special priority orders where stated.
Payments
Payment to be within 30 days of invoice. Image Lighting (Manchester)
Ltd., reserve the right to refuse these terms and issue a Pro-forma
invoice for payment before despatch of goods without explanation.
In this instance Image Lighting (Manchester) Ltd., will endeavour
to make such customers aware of the terms at the time of goods
being ordered. Invoices or part invoices outstanding 30 days after
issue will become subject to interest chargeable at 2.5% over
the current Bank of England MLR.
Breakages that are not notified within three days of delivery cannot
be cited as a reason to withold payment at a later date.
Value Added Tax
Value added tax will be charged at standard rate. Orders for
delivery outside the UK will also be charged VAT at the standard
rate, unless goods are collected by a recognised freight company,
who must provide paperwork indemnifying Image Lighting (Manchester) Ltd., from incurring
VAT charges, or goods are despatched by a representative of Image Lighting (Manchester) Ltd.,
(e.g. Post). Orders for delivery within the EC will also be
charged VAT at the standard rate unless supported by a valid
equivalent EC VAT number.
Conditions
The goods specified in our invoices are in accordance with the
quoted price and descriptions supplied by us. If they vary in
any way from the requirements of the customer's order (see also
verbal Orders under orders heading above), the invoice will prevail
unless the customer notifies us within three days of delivery.
Customers are advised to read the quotation regarding small variations.
Having advised the customer that
their goods are ready for despatch, Image Lighting (Manchester)
Ltd., will make every effort to supply goods for a specific delivery
date. However, the delivery times as specified above are not guaranteed.
We shall be excused delivery due to act of God, act of war, civil
disturbance, strikes, lock outs, fire, flood, carrier delay or
any other cause outside our control. In such cases delivery will
be extended commensurately with the length of the said delay.
Image Lighting (Manchester) Ltd., will not be liable for any consequential claims arising
from any delays.
Image Lighting (Manchester) Ltd., will make every effort to hold as complete a range of products
from the brochure, as possible. However Image Lighting (Manchester) Ltd., will not be liable
for any claims arising out of non availability of items whatsoever
the cause.
Where credit is obtained by a
customer, the goods invoiced shall, at all times prior to payment
of said invoice, remain the property of Image Lighting (Manchester) Ltd. During this time
the customer may not deal (except in the ordinary course of business)
with such goods nor charge the same to any third party. The proceeds
from the sale of such goods shall be held in trust for us by
the customer and we have the right, as our option, to trace and
recover the goods and/or such proceeds of sale.
If goods are delivered in stages,
each delivery shall constitute a separate contract to the terms
and conditions herein. The customer shall not be entitled to
withhold payment because of any delay or alleged defect in other
deliveries.
All descriptive matter, catalogues,
price lists or advertisements whether or not supplied with any
proposal or quotation are given in good faith and shall not form
part of the contract.
Unless otherwise stipulated, special quotations shall be open
for acceptance within 30 days thereof.
All goods to be checked immediately,
any discrepancies to be reported within 3 working days.
These conditions and the specific
terms as to the description quantity and price of goods and delivery
constitute the whole contract between Image Lighting (Manchester)
Ltd., and the customer.
These conditions are several and the failure of any single condition
shall not vitiate any other condition.
The laws of England shall apply
to this contract and the courts of England shall have jurisdiction
there over.
